The Vendor is required to provide for Financial Advisory services for a diverse services including but not necessarily limited to:
• Assisting the City in the review of debt policies and guidelines for the deployment of various debt strategies on tax exemption and arbitrage;
• Providing financial planning services related to debt management and reduction alternatives;
• Providing advice on proposed program/issue related debt strategies;
• Providing consultation and assistance to the City related to various debt issues/decisions and related business transactions with the financial community; and
• Providing pricing/transaction comfort to ensure effective exercise of market opportunities for the City.
- Services include:
• Review of existing debt structure to determine the desirability of refinancing any of the city's existing debt;
• Develop proposed financing structures for projects along with pros and cons of each option;
• Advise on terms and features of bonds and on timing and marketing of bond issues;
• Prepare and update schedules (timetables) for each bond issuance and distribute to the working group;
• Prepare or assist in the preparation of preliminary and final official statements;
• Develop and assist in rating agency presentations;
• Assist disclosure counsel in preparation of trust indentures, bond resolutions, loan agreements or similar documents;
• Prepare bid documents (if appropriate, electronic), conduct offering activities and evaluate bids for competitive sales;
• Assist in the selection of underwriters for negotiated sales;
• Assist, when appropriate, in negotiating the gross spread and the interest rates for each maturity offered;
• Participate and assist in closings;
• Provide recommendations at the city's request on the investment of proceeds;
• Obtain or assist in obtaining commitments from bond insurers if appropriate;
• Obtain bids or proposals for bond insurers, financial printing services, escrow verification services, paying agents, registrar and other services as required;
• Provide an opinion as to the appropriateness and fairness of each bond issue including an evaluation of the underwriters' performance;
• Present a report and summary conclusions on each bond issue to the city commission after closing;
• Assist the city in complying with securities and exchange commission rule 15c2-12 if requested;
• Assist the city in updating its debt management policy if requested; and
• Perform other debt related services as required.
