Legal Advisory Services

The Vendor is required to provide legal advisory services and support on an as-needed basis on matters arising during the construction phase of the project.
•    Providing ongoing interpretation and advice regarding the terms and conditions of the project agreement, including schedules, appendices and ancillary documents. 
•    This includes, but is not limited to advising on rights, obligations, remedies and potential breaches of contract; 
•    Providing legal support relating to avoiding disputes and assisting in early issue identification and options and recommendations for mitigation and resolution; 
•    Providing legal advice on the process for managing, negotiating and documenting change orders and variations and amendments to the project agreement; 
•    Providing legal advice on contractual mechanisms for monitoring project performance, addressing non-conformance, and implementing performance deductions or other remedies; 
•    Providing written and oral briefings, as directed by agency; 
•    Providing legal support and representation during negotiations; 
•    Providing specialized legal advice reasonably anticipated as a requirement under projects of the nature, size and complexity contemplated herein, including but not limited to:
o    General corporate and commercial law advice;
o    Intellectual property advice;
o    Construction law advice;
o    Procurement law advice;
o    Tax law advice;
o    Insurance law advice;
o    Environmental law advice;
o    labor, employment and pension law advice;
•    Proponent will work closely with agency internal legal counsel, project team and any other relevant government departments and agencies.
