The vendor required to provide bond counsel firm will be expected to perform services that include, but are not limited to:
1. Legal advice and consultation
• Advise the city on all matters related to municipal debt issuance and compliance with state law and federal tax regulations.
• Evaluate financing options authorized under the state government code and local government code.
2. Document preparation
• Prepare all necessary bond documents including ordinances, resolutions, notices, and closing documents.
• Draft agenda items, certificates, legal notices, and related materials.
3. Legal opinions
• Provide approving opinion(s) regarding the validity and tax-exempt status of the obligations, where applicable.
4. Coordination with city staff and financial advisor
• Work closely with the city manager, finance director, city attorney, and financial advisor during planning, structuring, pricing, and closing.
• Attend meetings of the city commission as needed.
5. Regulatory compliance
• Ensure compliance with IRS regulations, sec rule 15c2-12, and continuing disclosure requirements.
• Prepare and review post-issuance compliance procedures.
6. Specialized financing programs
• Assist with financings under programs such as the board or other state and federal funding agencies, if applicable.
7. Other services
• Provide guidance on reimbursement resolutions, arbitrage, refunding’s, and related matters as requested.
