The Vendor is required to provide legal services related to all bonds and tax anticipation notes currently in existence and any bond and/or note issues.
- In any debt issuance, bond counsel will render the objective legal opinion.
- Counsel may also be called upon to render any or all of the following services:
• Act as issuer’s disclosure counsel
• Assist in preparation of the preliminary official statement (“POS”), official statement (“OS”), and notice of sale (“NOS”)
• Assist in planning and structuring the county’s bond issue(s) and in supervision of the procedures of issuance
• Assist in preparation of proposed enabling legislation, if needed for financing
• Prepare documents necessary or appropriate to the authorization, issuance, sale and delivery of the bond(s)
• Obtain from governmental authorities such approvals, rulings, permissions, and exemptions as bond counsel determines to be necessary or appropriate to the issue
• Render opinions on questions related to the bonds, on applicability of federal and state laws, security agreements, eligibility for regulated investors, and any other relevant issues
• Assist in presenting information to bond ratings organizations and bond insurers, if necessary
• Perform word processing of POS, OS and NOS for any bond issues.
• Assist in any other necessary activities related to the bonds.
