The vendor required to provide legal services as bond and tax counsel.
- Requirement
•    Legal services for the planning and development of proposed municipal securities and the tax implications of the use of proceeds of those issuances, which includes any tax implications of projects being financed by city. 
•    Attend and participate in meetings for the development or sale of municipal securities. 
•    Assist with dissemination of information as determined by the city to be necessary.
•    Participate in legal or administrative proceedings for the drafting and review of documents for authorization, sale, issuance, and delivery of municipal securities to ensure compliance with applicable federal and state laws. 
•    Attend meetings of city officials, staff members, the city’s municipal advisor, and if a negotiated sale is undertaken, representatives of the selected underwriter(s), when requested. 
•    Review of any financing program proposed by the city’s municipal advisor and advise as to compliance with applicable laws and pending or proposed revisions in the law, including treasury regulations. 
•    Provide advice on procedures for the issuance of debt, required approvals, filings, potential cost-saving techniques and other legal matters whether the financing is undertaken by competitive bid or negotiated sale. 
•    Prepare legal documents and any amendments required in order to authorize the issuance of municipal securities.
•    prepare trust indenture; escrow deposit agreement; trustee, registrar or paying agent agreements; continuing disclosure undertaking; and any other agreements or similar documents necessary, related or incidental to a debt offering. 
•    If requested, assist the city in presenting information to rating organizations and credit enhancement providers affecting the issuance of municipal securities. 
•    Review the initial disclosure documents for the offering and sale of municipal securities. 
•    If a competitive sale is undertaken, review or prepare the notice of sale, form of issue price certificate, or the award and purchase contract for municipal securities. 
•    Advise on legal issues relating to compliance with IRS regulations of post issuance matters, sec and MSRB regulations relating to continuing disclosure. 
•    Provide any other legal services related to municipal securities or related matters as requested by the city.
