The vendor is required to provide that underwriters service indicate if they wish to be considered for senior underwriter to the authority and agency, or co-managing underwriter to the authority and agency.
- Scope of services:
• Senior managing underwriters for authority and utility debt securitization authority (UDSA)
o The senior managing underwriters shall perform the following services, as directed by the authority, and its financial advisors:
o Propose structures and cash flows for specific debt issuances and alternatives to reduce overall debt service costs and achieve other financing goals;
o Prepare, maintain and update financing schedules and calendar of events;
o Prepare pricing memos discussing market conditions (including comparable issues) and Preliminary pricing scales, syndicate rules, syndicate price views and marketing compensation;
o Manage the underwriting process;
o Assist in the drafting and review of relevant documents such as official statements, resolutions, investor and/or rating presentations, etc.;
o Assist in meeting with and developing credit structures and long-term strategies for presentation to the rating agencies and credit enhancers;
o Identify financing opportunities available to the authority and assist the authority and its financial advisors in developing the optimal plan of finance for the funding and refunding of the authority’s capital program (including UDSA issues), creating financial models as needed to support this effort;
o Assist in developing and managing an investor relations program; identify the market and potential investors that are most likely to purchase any and all securities offered at rates most favorable to the authority and UDSA
o Conduct bond sale conference calls and coordinate information with the syndicate group;
o Assess market conditions and investor demand and their impact on the economics and/or optimal timing of any authority and UDSA financing;
o Market and distribute the authority and UDSA bonds;
o Serve as variable-rate debt remarketing agent(s) on authority financings as requested;
o Commit capital as required in underwriting authority and UDSA bonds;
o Provide post-closing analysis of debt issuances including pricing, orders, allotments, designations, etc.;
o Provide secondary market support for authority and UDSA bonds;
o Identify derivative product transactions that would improve the authority’s financial position and risk management;
o Undertake certain market-related analyses of various financial products as may be requested by the authority;
o Identify gas and/or energy prepayment opportunities, renewable energy financing opportunities, and other such non-traditional financings that would benefit the authority; 9
o Coordinate information meetings with institutional investors, credit analysts, financial advisors and other public presentations as requested by the authority;
o Participate in discussions with the authority and its advisors upon the occurrence of unexpected events regarding the effect on the debt issued by the authority and udsa, and assist the authority in developing strategies and tactical response; and
o Provide such other underwriting and investment banking services as requested from time to time by the authority and its financial advisors.
• Co-managing underwriters
o The co-managing underwriters shall perform the following services:
o Assist in marketing and distribution of authority and udsa bonds;
o Commit capital as required in underwriting authority and udsa bonds;
o Provide support for the bonds in the secondary market; and
o Provide such other underwriting and investment banking services as requested from time to time by the authority and its financial advisors.
