The Vendor is required to provide to serve in two areas of underwriting services in two pools: senior manager and/or co-manager - collectively together (the "pools").
- Provide or serve as senior, co-senior-manager and co-managing underwriters with respect to the issuance of certain bonds.
- Strategic Debt Planning and Structuring
• Develop and recommend financing structures to housing and its municipal advisor/quantitative consultant for each bond issue to meet program and financial goals given current and projected market conditions while aligning with housing’s long-term financial objectives and policy goals.
• In consultation with housing’s municipal advisor/quantitative consultant, recommend optimal bond structures to minimize cost of funds while limiting risk and providing flexibility to housing.
• Provide advice on the terms and structure of bonds.
• Identify market opportunities and provide ongoing surveillance of housing’s outstanding debt portfolio.
- Rating Agency Support
• Work with housing and its municipal advisor in coordinating with rating agencies to provide necessary information and address inquiries throughout the rating process in connection with each bond issue as necessary.
- Document Preparation and Review
• Review and/or assist in the preparation of all relevant bond-related documentation, including but not limited to, resolutions, official statements, and tax documents, board approval materials, closing documents, and rating presentations if applicable.
• Provide thorough review and comments on preliminary and final official statements (POS/OS) and other transaction documents.
• Coordinate with bond counsel to ensure compliance with all applicable federal tax and securities laws.
• Participate in due diligence calls.
- Syndicate Management and Pricing Strategy
• Develop marketing and pricing strategies, including managing the syndicate of co-managers.
• Provide proposed pricing wires prior to calls discussing bond marketing.
• Coordinate the preparation of preliminary and final pricing wires and offering scales for housing’s review and approval prior to publication.
- Market Data and Investor Engagement
• Provide weekly scales to housing and its municipal advisor during the analysis and preparation of bond structures.
• Provide market updates and pre-pricing data to housing and its municipal advisor including: price views from the underwriting team, the consensus sale and recommended preliminary wire to be approved by housing.
• Manage investor outreach and marketing efforts, including creation of investor presentations/roadshow materials as applicable.
• Provide on-going analysis of market conditions leading up to each sale. Provide electronic and/or printed materials to support investor communications.
- Order Management, Execution, and Underwriting
• Manage the process of marketing and selling bonds to a diversified set of investors. Commit capital as required to underwrite housing’s bond issues. Underwrite housing’s bond issuances and comply with housing’s policies for liability designation, retention, pricing procedures, and bond sales.
• Provide detailed orders and allotments for housing’s approval. Fulfill orders and allotments in accordance with housing’s direction.
• Finalize underwriter takedown and expenses for housing’s approval.
- Post-Pricing Deliverables and Support
• Prepare a final pricing book for each sale, including: summary of bond sale, pricing wire, interest rates, tic; sources and uses of funds summary; underwriter takedown and expense breakdown; market comparisons of interest rates, yields and spreads to recent comparable issues; list of investors who purchased housing’s bonds; underwriter team orders and allotments by retail, institutional and member.
• Support housing’s bonds in the secondary market trading and continued investor relations.
- Ongoing Compliance and Support
• Provide all required certifications as requested by bond counsel.
• Offer comments and support on continuing disclosure undertakings.
• Coordinate with guaranteed investment contract (GIC) brokers, if applicable, for bidding of program and float fund accounts.
- Innovation and Strategic Advisory
• Identify and propose new strategies, initiatives, and innovative ideas to enhance housing’s programs, financial performance, and operational goals.
• Participate in meetings, calls, and ongoing collaboration with housing’s staff and financing team members as needed.
• Provide other bond or program-related investment banking services as may be requested by housing.
- Co-managers will be expected to provide services related to marketing, selling and underwriting of housing bonds, including, but not limited to, the following:
• Participate with the senior manager in the development of marketing and pricing plans.
• Market housing’s bonds, including engagement with potential investors and distribution of marketing materials.
• Follow housing’s policies—either oral or written—regarding liability designation, pricing procedures, and the bond sale process.
• Underwrite bonds as needed in coordination with the senior manager.
• Provide required certifications to bond counsel in accordance with applicable legal requirements.
• Participate in the bond related document review and due diligence call.
• Support post-pricing activities, including providing market support for underwritten bonds.
