The vendor is required to provide e for all necessary bond counsel services for interim and permanent financing and for office -authorized refunding’s during the contact period.
• Providing legal opinions and legal advice relating to the debt structure;
• The sale and closing of securities;
• Providing legal advice concerning tax issues including arbitrage regulation compliance;
• Consulting with the issuer, the trustee, and the office;
• Providing information as requested to the rating agencies and insurers;
• Overseeing the printing of bond certificates;
• Drafting and producing the preliminary and final official statements;
• Drafting and circulating the required issuance documents for approval;
• Preparing the lease documents in a form approved by the office;
• Coordinating the closing of all issues;
• Reviewing of investment agreements related to the debt service reserve fund deposits; and
• Providing all other legal services related to the bond issue as may be necessary, required, or requested.
- Must advise board and the office about potential consequences of making reimbursement to the local unit of government out of project funds for the use of property already owned by the local unit of government.
- Must attend board meetings upon request of the office or the board when legal advice is necessary concerning the debt structure or related tax issues.
- Provide additional legal services to the office including, but not limited to:
• Arbitrage rebate calculations on matters for which the contractor did not serve as bond counsel; and
• Tax advice on matters for which the contractor did not serve as bond counsel.
