The vendor is required to provide professional real estate brokerage services to marketing consulting services with regard to the property:
• Consulting, if desired by university, on the inclusions and exclusions of the offering of the property, prior to valuation of the property to establish fair market value of the property, which shall be the maximum price acceptable to university pursuant to law.
• Consultation on the requirements and proof of financial qualifications of potential sellers.
• Preparation of a “due diligence package” and offer package” to be made available to prospective sellers of the property and designed to inform university of any conditions placed on the property.
• Assessment of the development potential of the property with due consideration to marketing, zoning and constraints.
• Analyzation of the commercial real estate markets from regional, municipal and neighborhood perspectives.
• Draft preparation and consultation on the form of purchase and sale agreement to be executed between university and the successful seller.
• Broker shall provide advice and input on the form of the purchase and sale agreement, but the final form of purchase and sale agreement shall be approved by university and its counsel.
• Showing of the property to university.
• Advice and counsel on the selection of property if competing offers.
• If desired by university, advise and consult on compensation of qualified seller’s broker.
• Typical real estate and transactional services associated with closing and funding a real estate transaction.
