The Vendor is required to provide for investment banking and underwriting services for any potential financings.
- Services include:
1. Financial planning & strategy:
• Develop and evaluate innovative financing options and structures tailored to the city's goals.
• Prepare comprehensive financial plans for proposed debt offerings, including quantitative analyses, interest rate sensitivity, and tax rate projections.
• Provide ongoing advice on the impact of current or proposed state/federal legislation and market conditions affecting the city's financial plans.
2. Credit rating & documentation:
• Assist in the credit rating process, including strategy development and participation in presentations to national credit rating agencies.
• Review all legal and financial documentation pertinent to the debt issuance (e.g., city and financing authority resolutions, indenture, the bond purchase agreement, preliminary and final official statements).
3. Marketing & sale of debt obligations:
• Develop and implement a comprehensive marketing and distribution plan, including identification of potential investors.
• Assist in the successful structuring, sizing, marketing, and sale of the bonds to achieve the lowest possible borrowing cost.
• Underwrite the bonds, if necessary, to enable orderly pricing and meet the city’s financing goals.
• As the senior manager, manage other underwriters in the syndicate selected by the city to market the debt obligation.
• Conduct and execute the sale of securities.
4. Post-issuance & compliance:
• Assist in the post-financing evaluation process, including the timely submittal of all required reports.
• Ensure all activities adhere to the city’s established policies, procedures, and processes for selling debt obligations.
5. Collaboration & communication:
• Attend and participate in city council meetings and other relevant discussions related to the bonds.
• Provide ongoing information to city staff and the financing team regarding the status of the financing.
• Participate in conference calls or meetings as needed.
