The Vendor is required to provide bond senior managing underwriter, placement agent and direct purchaser services for include:
1. Financial evaluation
• Analyze the city’s financing objectives, debt capacity, credit position, and market conditions. Recommend appropriate financing structures, including fixed-rate, variable-rate, taxable, tax-exempt, bank placement, public offering, or other financing alternatives.
• Assist in determining the timing, sizing, maturity schedules, redemption provisions, and security features of proposed financings.
• Recommendations regarding refinancing or refunding opportunities.
2. Underwriting and placement
• Serve as senior managing underwriter for publicly offered debt issuances, including structuring, pricing, underwriting, marketing, and distribution of securities.
• Serve as placement agent or direct purchaser facilitator for privately placed obligations or bank purchases.
• Develop and implement marketing strategies designed to achieve favorable interest rates and broad investor participation.
3. Transaction management
• Coordinate all phases of the financing process with city staff, bond counsel, disclosure counsel, financial advisors, trustees, rating agencies, verification agents, and other financing participants.
• Prepare financing schedules and ensure timely completion of all transaction milestones.
• Participate in meetings, presentations, conference calls, and due diligence sessions as required. Solicit and coordinate interest from potential institutional investors, banks, and other purchasers.
4. Official statement and disclosure assistance
• Assist in the preparation and review of preliminary and final official statements, offering memoranda, investor presentations, and related disclosure materials.
• Market data, debt statistics, comparable financing information, and other information necessary for disclosure documents.
• Assist the city in satisfying continuing disclosure obligations, if requested.
5. Regulatory and compliance support
• Assist the city in complying with applicable federal, state, and local laws, regulations, and market standards relating to municipal securities transactions.
• Coordinate with bond counsel regarding tax, arbitrage, and securities law matters.
• Disclose any actual or potential conflicts of interest associated with the proposed services or financing transactions.
6. Post-closing support
• Post-sale analysis and transaction summaries.
• Assist with closing documentation and settlement coordination.
• Continuing market support and recommendations concerning future financing opportunities.
