The vendor is required to provide financial advisory services for include:
• Work closely with commission staff, general counsel, bond counsel, underwriters, and other parties necessary to market commission bonds, including bond rating agencies, bond insurers, trustees, and financial institutions.
• Consult and advise the commission on the structuring of its bond issues, issuing and selling bonds, notes, or other obligations to finance activities in the commission’s housing programs, redeeming existing bonds, drafting or participating in the drafting of financing documents and drafting or reviewing program documents.
• Assist the commission in evaluating underwriters’ recommendations for bond and note offerings, and in preparing official statements, yield calculations, and cash flow arbitrage yield analyses for these transactions.
• Consult and advise the commission on maintaining and improving its credit rating and on market trends, investor preferences, and other factors impacting the marketability of commission bonds.
• Consult and advise the commission on proposed and enacted statutory and regulatory changes affecting the commission and imposed by congress, the country treasury and other regulatory agencies; including, but not limited to, IRS, SEC, and MSRB.
• Manage secondary market trades as well as analyze and advise on derivative products for the commission.
• Assist the commission with submissions, presentations, and negotiations with financial institutions, rating agencies, developers, governmental entities, investors, and others on matters related to the commission’s financing practices and needs.
• Provide analytical support for any disclosure reporting or filings and assist the commission with its response to the IRS regarding bond audits or sec regarding continuing disclosure matters.
• Assist in bond offerings by:
o Assisting in drafting and evaluating responses to requests for proposals for bond underwriting services.
o Reviewing transaction offering documents, including preliminary official statement and final official statement.
o Analyze the financial soundness of the proposed financing through the preparation of consolidated cash flows and other financial estimates based on assumptions.
o assisting in all aspects of the rating agency presentation: preparation of materials; Prepare commission staff for presentation; and participate in presentation.
o Reviewing financing structure with underwriter.
o Reviewing pricing on the day of pricing to assure the commission receives aggressive market pricing
o Prepare post bond sale analysis including underwriters’ performance and cost of issuance.
