The Vendor is required to provide legal services on an as-needed basis.
- Legal services to agency, its affiliates, and its non-profit instrumentalities on an as-needed basis in support of programs administration, operations, and initiatives.
- Employment Advice
• Provide legal advice regarding various employment related issues.
• This includes, but is not limited to, disciplinary matters, disciplinary hearings and appeals, employment terminations, equal employment matters, investigations (including harassment, misconduct and other types of employment-related complaints), grievances, wage/hour matters, retirement and health benefits, interpretation of employment law, and development of and advice regarding agency personnel rules and policies.
- Real estate, development, and finance
• Provide legal advice for and assistance with implementing agency development and redevelopment efforts.
• Required services include, but are not limited to: acquisitions, including review of contracts and other related documents; real estate partnerships; joint ventures, partnerships and tenancy in common agreements, local or state regulatory agreements and/or memorandums of understanding; review and advise on public and private financing documents; review of department or other governmental agency documents pertaining to real estate financing or agreements; representation before governmental agencies in acquisition and development of projects; review of title reports, encumbrances and title insurance; review of construction contracts and law; creation of homeowners and condominium associations and all related documents, including but not limited to, covenants, conditions and restrictions; advise on tax matters including the structuring of tax credit transactions; advise on the structuring of affordable housing financing; draft documents related to affordable housing transactions; address entitlements, environmental issue and related approvals; assist and advise with negotiations on various funding mechanisms; and advise generally regarding legal issues and law in connection with financing transactions, projects, and activities.
• Provide general real estate advice to agency or its instrumentalities regarding development and redevelopment, real estate acquisition, and real estate management, including commercial and residential leases and real estate and construction litigation.
• Provide development and redevelopment advice regarding the acquisition and financing of affordable housing, including the use of low-income housing tax credits, solar tax credits, local and state grant and loan financing for affordable housing development, mixed use development law, public private partnerships, and community development block grants.
- Bonds
• Provide legal advice as bond and or disclosure counsel, including drafting all necessary bond documents related to the issuance of tax-exempt or taxable multi-family, single-family, general obligation or other governmental bonds, notes or certificates of participation, conduit bonds and private placement transactions; review all financing documents related to the issuance of the applicable bonds or notes; examine, research, and review all applicable laws and regulations relevant to or in any way affecting the issuance, sale, execution and delivery of securities; potential credit enhancement through county mac products or other providers; provide written opinions as necessary relating to bonds; assist agency, its instrumentalities financing team, including municipal finance advisors and development partners, financing team, including municipal finance advisors and development partners in resolving issues related to the successful issuance and closing of the applicable transaction; advise agency on matters that may arise after the issuance of bonds, including IRS, department, internal and other audits, ownership transfers between agency and its instrumentalities, allowable credit substitutions, federal tax compliance and reporting, conduit bond issuer fees and loan/note/bond payoff/redemption procedures, refinancing of existing bonds or notes, assistance with sec reporting and disclosure requirements as necessary, assist with rating agency presentations as requested, and represent agency when it is an issuer of conduit bonds, whether as a co-developer or as a subsidy provider or ground lessor.
