The vendor is required to provide legal services as detailed below, as needed by the agency.
• Provide legal advice, counsel, consultation and opinions for authority in-person, virtually, by telephone, e-mail or in writing.
• Provide customary legal services to authority as requested.
• Any necessary opinions, letter rulings or other documentation on legal matters impacting authority and provide advice on a prudent or essential course of action.
- General and corporate affairs
• Undertake and prepare any necessary research into legal matters affecting authority and provide advice on a prudent and essential course of action.
• Attend and provide legal oversight at all monthly board of trustee's meetings, either virtually or in person.
• Assist with review of contract documents (typically procurements, leases, as well as federal and state grants).
• Advise on compliance with existing state and federal laws and the issuance of advisory memorandums regarding proposed and new laws.
• Assist in resolution of disputes with the department of transportation and federal transit administration.
• Counsel and participate in real estate agreements and transactions.
• Navigate environmental issues including processing of NEPA, leases, and purchases including zoning, eminent domain actions and condemnations.
• Represent and negotiate on behalf of authority with transaction partners and associates.
• Counsel and participate in the issuance of general obligation bonds and other forms of indebtedness permitted by regional transit authority as set forth in the code.
• Indicate experience in representing bond issuers, including transit organizations.
• Counsel and participate in any other legal affairs of interest to the operation of the authority.
• Other services as required and agreed.
- labor and employment matters
• counsel and participate in selected labor situations such as the grievance process, mediation and contract administration, interpretation and negotiation.
• Indicate experience with labor arbitration, with specific reference to procedures utilized by the american arbitration association.
• Advise compliance with new and existing state and federal labor laws pertinent to authority operations, by utilizing knowledge of prevalent labor practices in the transit industry and with administrative rules of the state employment relations board.
• Counsel and assist in maintaining policy documents by researching, identifying or recommending legal best practices, required regulatory updates, industry best practices, and other relevant policy implementations, updates, or redactions.
• Counsel and participate in selected wage and hour and unemployment compensation issues.
• Counsel regarding personnel and benefit administration policies and procedures, indicating other clients for whom this work has been performed.
• Counsel on selected worker’s compensation claims at the industrial commission, negotiate settlements and provide educational training, as requested and represent the authority in court on claims appealed into common pleas court.
• Counsel and participate in equal employment opportunity (EEO) issues at the authority and cases at the state civil rights commission, equal employment opportunity commission, human relations council, etc. as requested.
• Counsel and advise on employment issues.
