The Vendor is required to provide legal services requested include, but are not limited to, the following:
• Assist in the preparation and review of all general legal documents related to the conduct of agency business affairs, as needed;
• Legal research and prepare, assist in the preparation of, and review legal documents as requested by the agency board and agency officer, including, but not limited to contracts, agreements, resolutions, forms, compliance documents, audit requirements, policies and procedures, conflict of interest, notices, certificates, leases, and other related documents;
• Agency board members, agency officer and agency board staff as needed, on legal aspects of proposed actions, programs, and concerns;
• Review and provide direction on board meeting agendas as needed;
• Attend board meetings, and other meetings as requested, to provide general legal counsel;
• Board of directors and standing committee meetings, including matters related to conflict-of-interest laws and compliance with other applicable laws;
• Agency officer concerning legal aspects of agency pension plan and employee benefit program;
• Board of directors and agency officer concerning changes in federal, state, or local laws that may affect agency operations;
• Perform research and interpret laws, court decisions, and other legal authorities in order to render legal opinions, and advise agency on legal matters pertaining to agency;
• On all new laws and regulations applicable to governance and operations;
• Concerning personnel matters in relation to existing personnel policies, conflicts of interest, codes of conduct, current personnel law, and updates to state and federal personnel law;
• Items involving the freedom of information act and state open meetings act;
• State and federal grants, contracts, procurements, and related compliance matters;
• Respond to inquiries from the agency board and officer in a timely manner and maintain reasonable availability to respond to urgent or emergency matters;
• Legal guidance regarding litigation, administrative proceedings, claims, disputes, and other legal matters as required by agency;
• Identify and disclose any actual, potential, or perceived conflicts of interest that may affect the provision of legal services to agency.
