The Vendor is required to provide external fiduciary counsel services for include:
• Legal advice on fiduciary duties and obligations and fiduciary liability matters;
• Legal advice on public pension board governance matters;
• Legal advice in matters involving the state pension code, the state officers and employees ethics act, and in the state governmental ethics act;
• Advice on other various legal issues, including, but not limited to, real or potential conflict of interest situations and application and interpretation of state law, state administrative law, and other relevant state and federal statutes;
• Attend in-person, regular meetings (quarterly) and interim and special meetings (as needed) of the universities board of trustees and board committees and attend other in person meetings of the same as may be called from time to time;
• Represent universities staff in administrative decisions that are appealed to the universities executive committee;
• Assist in representing universities in litigation, as requested, and assist the state attorney general’s office with threatened and pending litigation when requested;
• Possess knowledge of the legislative process in state and be able to assist the universities board of trustees and staff in responding to proposed legislation that will affect universities members and annuitants;
• Assist universities staff members and the board with drafting legislation that is requested and approved by the board of trustees on an as needed basis;
• Such other legal advice and guidance as may be requested by the universities board of trustees and staff.
