-Legal Services Department provides best-in-class advice and counsel through end-to-end involvement in a wide range of business, operational, academic, research, people, and patient care matters.
-The intellectual property, general business, and education functions of the department are heavily driven by the review, creation, negotiation, and dissemination of documents pertaining to all aspects of the institution, including in particular, contracts relating to research and intellectual property, confidential information exchanges, and general business and education.
-Legal Services uses playbooks, checklists, and templates to guide its legal contract review, drafting, and negotiation but does not currently utilize a contract review system to assist in reducing the manual effort associated with these tasks, and more importantly in improving contract review consistency and speed.
-System that leverages automated processes to: (1) create first draft agreements; and (2) for contracts under review and negotiation, (a) identify key terms, highlight potential issues, (b) provide recommendations, and (c) enhance compliance with policies and rules, to assist in the creation, review, negotiation, and management of legal contracts as informed by certain playbooks, checklists, and templates
-System will preferably utilize machine learning or artificial intelligence algorithms trained by templates, playbooks, and checklists to facilitate contract creation and review, allowing the software to understand complex legal language and provide insights, including with regard to State requirements and restrictions, that lead to more informed contract negotiations and compliance checks
-The review of Agreements under negotiation, the System should facilitate:
(1)The identification of differences, inconsistencies, and deviations from standard templates, playbooks or checklists;
(2)Efficiently standardize contract language; and
(3)Provide recommendations for language and terms that maintain consistency and compliance with applicable state policies, rules and best practices across all Agreements.
-A System that leverages automated processes to:

•The System must respect privacy and data integrity of information provided such that the System will not use state data to train the System’s general models.
•The System must also ensure that contracts, playbooks, and data are stored using enterprise-grade encryption to ensure that all information remains confidential and secure.
•The System should provide intuitive searchability of the full System repository and within the text of
documents, including PDF.
•The System must have ability to create and save search queries so that users can perform the same search later without re-entering it.
•The System must be compatible with both Windows PCs and Mac computers. PCs are the predominant devices used.
•The System should allow users the ability to set-up and use the role-based user access controls that align with state system access and data security standards.
•The System should be capable of supporting integration with third-party enterprise systems via Application Program Interface (API) and/or Web services. Optional, but highly preferred, that the
System platform has compatibility with the Net document, email, file, and matter management
system used by state Legal Services.
•The System must be able to integrate with the Microsoft Office 365 Online Enterprise Productivity Suite so that users can save, find, attach, etc., documents or other files directly through the System and Microsoft suite.
•The System deployment method should allow for the following: On-premises, cloud-based or hybrid methods will be considered and evaluated, provided that the deployment method meets the above data integrity requirements.
