The Vendor is required to provide the Town with general legal counsel services.
- Responsible for providing general legal counsel for the town on various legal matters including, but not limited to, conflict of interests, legislation, procurement, easements, government regulations, parliamentary procedure, contracts, land use and planning, construction and development, updating the town code, police department operations, employment and personnel, and public utilities.
- The legal representation provided by the selected firm will involve handling matters in diverse areas of the law, including municipal law (public procurement, open records and meetings, conflict of interest, legislation, government regulations, parliamentary procedure, etc.), contracts, land use, construction and development, commercial real estate transactions, employment and personnel, public-private partnerships, and public utilities.
- Economic Development, Land Use and Planning, Procurement, and Financial Legal Matters:
• Provide legal advice on existing bonds, other debt instruments, and future debt considerations.
• Assist Town staff in the administration and compliance with public procurement and public financing.
• Perform legal work pertaining to property acquisitions, condemnations, forfeiture activities, public improvements, public rights-of-way, easements, transfers, and other related matters.
- Human Resources and Employment Law:
• Provide legal advice and contract review for human resources issues, personnel matters, and labor law interpretations.
• Provide as requested, employment legal advice and counsel on labor relations matters and in grievance arbitrations that cannot be handled by the town manager.
- Chief Legal Counsel/Advisor and Legal Representation:
• Provide clear and concise legal advice and unlimited consultation, in a timely manner and as requested or required, to the governing body, the town manager, and department head staff through the town manager, where such consultation does not conflict with the interests or policies of the town.
• Provide representation and/or litigation support of other counsel in all actions, suits, or proceedings in which the town or employee is a party or is legally interested upon request by the town manager, including monitoring all matters involving litigation affecting the town.
• Prepare/review contracts, intergovernmental agreements, and contractor/construction agreements and other professional service agreements.
• Coordinate work with existing legal staff, including the town insurance counsel.
