The Vendor is required to provide bond and disclosure counsel, general disclosure counsel, and other related as needed legal services.
- Bond Counsel Services
• Prepare all legal documents necessary for the authorization, issuance, and sale of bonds, including closing documents and transcripts.
• Attend working group and due diligence meetings or conference calls, as necessary or when specifically requested by authority.
• Attend authority board meetings as requested.
• Participate, when requested, in activities associated with rating agency meetings or calls.
• Provide an objective legal opinion regarding the valid authorization and issuance of bonds, and the tax-exempt status of interest under applicable federal and/or state laws and regulations.
• Provide continuing advice regarding any actions required by authority to maintain the tax-exempt status of the bonds, if applicable.
• Provide legal consultations on financing-related matters at any time upon authority request.
- Disclosure Counsel Services
• Consult and work with authority staff, the municipal advisor, underwriters, and other consultants in the preparation of disclosure documents, including preliminary and final official statements and continuing disclosure certificates.
• Confer and consult with authority staff on all matters relating to disclosure documentation.
• Attend working group and due diligence meetings or conference calls, as necessary or when specifically requested by authority.
• Attend authority board meetings as requested.
• Review and comment on any investor presentations prepared by authority and/or the underwriter, as needed.
• Render a disclosure opinion to authority and the underwriter.
• Provide consultations related to public offerings, including, upon request, disclosure training for authority staff.
• Advise and assist authority with its ongoing continuing disclosure obligations under rule, including the preparation, review, and filing of annual continuing disclosure reports, material event notices, voluntary disclosures, and other filings.
• These services may be requested independently of any new bond issuance.
- Provide bond counsel and disclosure counsel services in support of future financings, should they arise, as well as post-issuance compliance, continuing disclosure, investor related legal matters, and other related public finance legal needs.
- The intent is to maintain legal readiness, ensure ongoing regulatory compliance, and retain access to experienced public finance counsel on an as-needed basis.
