Bond Counsel Services

The Vendor is required to provide individuals to enter into a professional service agreement to serve as bond counsel in conjunction with annual debt service issuance for the village pool complex redevelopment project as well as other potential future capital improvements.
- Services include:
•    Advise the village on structural financing alternatives for managing the current debt service and planning for future offerings to support general operations as well as dedicated capital projects, such as but not limited to pool complex financing.
•    Render an opinion on the validity of the bond offering, the security for the offering, and whether and to what extent interest on the bonds is exempt from income or taxation.
•    Prepare and review documents necessary or appropriate to the authorization, issuance and delivery of the bonds, coordinate the authorization and execution of such documents and review enabling legislation and village code as appropriate.
•    Assist the village in seeking approvals, permissions, and exemptions from other governmental entities deemed appropriate or necessary.
•    Review legal issues relating to the structure of the bond issue.
•    Review those sections of the official statement, negotiated sale documents or other form of offering or disclosure document to be disseminated in connection with the sale of the bonds involving a description of the bonds, security of the bonds and the bond opinion.
•    Assist the village in presenting information to bond rating organizations relating to legal issues affecting the issuance of the bond.
•    Prepare and review notice of sale and official bid form pertaining to the competitive sale of the bonds.
•    Draft the continuing disclosure undertaking of the village.
•    Provide a dedicated representative for bond counsel services identified herein.
•    Generally provide other assistance, advice and consultation as may be appropriate and as requested.
