The vendor is required to provide legal counsel in key practice areas essential to its mission of offering quality affordable housing.
- Real estate and development
• Provide comprehensive real estate and development legal services supporting the authority's portfolio repositioning initiatives.
• Guide complex real estate transactions from inception through closing, ensuring compliance with public housing regulations while maximizing development opportunities.
• This encompasses executing rad conversions from initial application through closing, processing demolition and disposition applications, structuring mixed-finance development projects, and coordinating public-private funding arrangements.
• For property transactions, counsel shall draft and review all purchase and sale agreements, conduct thorough title examinations, prepare legal opinions, structure rights of first refusal and option agreements, and process property transfers and encumbrances.
• Development support services shall include securing all necessary zoning variances and permits, representing the authority before planning bodies, and ensuring compliance with environmental and historic preservation requirements.
• Financial structuring services shall encompass the full range of development finance, including structuring low-income housing tax credit transactions, coordinating new market tax credit financing, arranging construction and permanent financing, and issuing multifamily housing revenue bonds.
- Corporate governance and government relations
• Counsel serves as a strategic advisor to the board of commissioners and executive leadership, providing guidance on governance matters, regulatory compliance, and strategic initiatives.
• Counsel must demonstrate experience advising public housing authority leadership and maintaining productive relationships with regulatory agencies.
• Provide comprehensive board support, including attendance at all regular and special board meetings.
• Counsel shall draft and review resolutions and policies, prepare legal opinions as requested, review meeting minutes for accuracy and completeness, and advise on fiduciary duties and strategic decision-making.
• Regulatory compliance services shall include ongoing monitoring of applicable laws and regulations, ensuring fair housing act compliance across all operations, developing internal policies as needed, structuring affiliate organizations, maintaining corporate records, and guiding procurement compliance.
• Provide strategic counsel on government relations matters affecting the authority's interests.
- Labor relations
• The labor relations practice area encompasses all aspects of authority employment relationships, from policy development through dispute resolution.
• Provide comprehensive guidance on employment matters while managing relationships with organized labor representatives.
• Counsel must demonstrate experience representing public housing authorities in employment matters and labor negotiations.
• All employment matters, including assisting with developing personnel policies, handling discrimination claims, addressing workplace harassment issues, ensuring EEOC and FLSA compliance, guiding disciplinary actions, and structuring employment agreements.
• Provide comprehensive guidance on workforce management issues.
• Labor relations services shall include leading collective bargaining negotiations, managing grievance procedures, handling arbitration proceedings, structuring benefits administration, and ensuring compliance with all applicable labor laws.
