The Vendor is required to provide the legal services contemplated include, but are not limited to, assisting the city attorney’s office in providing advice and representation to agency in connection with bond, disclosure and tax issues.
- The duties of serving as bond counsel, disclosure counsel and/or special tax counsel, as applicable, may include, but are not limited to, the following:
• Issuance of new debt, or refunding portions of the department revenue bonds previously issued;
• Issuing new department revenue bonds to replace all or part of the department’s commercial paper program;
• Obtaining substitute liquidity facilities for the commercial paper program if required;
• Obtaining various types of loans from federal, state or local agencies;
• Assisting the city attorney’s office in the preparation and examination of all necessary documents for the issuance, sale, execution and delivery of revenue bonds, revenue notes, revenue certificates and other forms of indebtedness that the department proposes to issue and sell;
• Assisting the department in evaluating indebtedness issues related to financing alternatives, debt structures and investment portfolios;
• Assisting the city attorney’s office in evaluating indebtedness issues related to the department undertaking capital improvement, mitigation and other projects;
• Examining the city charter, city procedural ordinance and all constitutions, statutes and resolutions relevant to the issuance, sale, execution and delivery of such bonds;
• Providing a bond counsel opinion acceptable to the underwriters;
• Issuing a tax opinion;
• Providing informal continuing educational opportunities regarding various municipal finance areas (e.g. continuing disclosure requirements, changes in regulatory laws and rules, etc.) For the city attorney’s office and department staff;
• Preparing or assisting the city attorney’s office in preparing and interpreting all disclosure documents required by securities and other laws;
• Assisting in all legal matters related to obtaining letters of credit, or liquidity facilities to support bond issuance;
• Advising on matters related to the investment of bond proceeds;
• Assisting the city attorney’s office, on an as needed basis, in providing general advice in connection with bond, disclosure and financial issues affecting the department; and
• Assisting the city attorney’s office in any litigation relating to the issuance, sale, execution and delivery of such bonds or other related financial issues affection the department.
