The vendor is required to provide mixed finance legal services to the authority in negotiating and closing on multiple mixed financial transactions.
- Provide and be responsible for a full range of legal services, including but not limited to, assisting the authority in negotiating as the selected developer for the project, providing legal advice on structuring the transaction, (negotiating ground lease, regulatory and operating agreements and preparation of all financing documents) with the mixed finance ownership structure and evidentiary preparation of documents for any partnerships; providing assistance with respect to documents and requirements; providing legal assistance with respect to all act financing related issues and any and all other legal assistance required.
- The legal firm shall also convey to authority and its board of commissioners the likely legal implications of the financing options and requirements of the development agreements and operating agreements, and assist authority in protecting its resources and interests.
- The consultant will work with general counsel for authority, and must ensure that all corporate legal opinions are in compliance with state laws.
- The firm will also participate in development team meetings, board of commissioner meetings and other community meetings as necessary and coordinate with authority to ensure the most efficient use of counsel.
- The consultant shall also provide detailed legal and tax advice as to the creation of partnerships, ownership entities and advice as to authority providing operating subsidy to the deal.
