The vendor is required to provide bond counsel services for include:
• Serve as a member of the authority’s financing team.
• Prepare the official statement or other offering memorandum disclosing all information pertinent to a potential bond investor.
• Draft the necessary sec rule 10b-5 antifraud opinion.
• Identify potential changes and incorporate them into the official statement.
• Review documentation prepared by the issuer, bond counsel, underwriter, and financial advisor.
• Work with the authority staff, bond counsel, financial advisors, and airport consultants in preparing and maintaining the preliminary and official statements in connection with the sale of bonds.
• Prepare and review, as necessary, other documents relating to disclosure necessary or appropriate to the authorization, issuance, sale, or delivery of bonds.
• Upon request by the authority, assist with matters related to the issuance and sale of bonds.
• Ensure that each issuance meets all IRS, SEC, MSRB, and other regulatory agency requirements.
• Assist the underwriter’s counsel with diligence collection, review, and preparation of offering documents, purchase agreements, and related structuring and documentation.
• The authority, attend meetings at the airport on matters concerning financial techniques, bond issues, and various other issues which may arise during the term of the contract.
• Collaborate and advise the authority’s legal affairs department, finance department, and chief financial officer regarding the suitability of the chief legal officer or designee’s opinion as it relates to the bond transaction.
• The authority, render a sec rule 10b-5 opinion regarding the accuracy and completeness of the official statement.
• The authority, assist in presenting information to bond rating organizations, investors, and, if applicable, other municipal market participants relating to issues affecting disclosure.
• Assume primary responsibility for reviewing various documents for disclosure-related purposes to be utilized by the authority in its financings in connection with the sale and issuance of bonds, including, but not limited to:
o Appropriate resolutions and any amendments necessary to authorize the issuance and sale of the bonds.
o Amendments, recodification, and supplements to the authority's codified and restated trust agreement.
o Trust agreement and supplemental trust agreement for any financing that may be undertaken separate from the authority’s codified and restated trust agreement.
o Escrow, trustee, registrar, and paying agent agreements.
o Bond form, or forms, and coordination of the printing of the form(s).
o Coordinate with bond counsel, as required, in the preparation and submission of the bond financing notice of sale, final official statement.
o Prepare other documents and certificates generally required of disclosure counsel in connection with bond issuances.
