The Vendor is required to provide legal services supporting its operations as a public library district and political subdivision of the state, as a local government.
- Proactive, responsive legal counsel to assist with governance, contracts, real estate, employment matters, public entity compliance, litigation support, emergency response, and other legal needs.
- Governance and Board Counsel
• Attend board meetings as requested
• Provide guidance on sunshine/open meetings laws, act, state library law, parliamentary procedure, board bylaws, and governance structure
• Support drafting, revising, and interpreting board policies
- Policy and administrative support
• Assist with development and review of organizational policies and procedures
• Provide guidance on administrative compliance and public entity operational issues
- Contracts, procurement and business
• Draft, review, and negotiate contracts, act, and vendor agreements
• Advise on state procurement law, public bidding, and tabor requirements
• Provide guidance on insurance, indemnity, data privacy, and risk allocation terms
- Real estate, leasing and capital projects
• Assist with property acquisition, leasing, easements, real estate negotiation
• Review and advise on construction agreements, state contracts, and change orders
• Support compliance with public construction procurement standards
- Risk management and litigation support
• Advise on application of the state governmental immunity act
• Support claims management and insurance matters
• Represent department in administrative and judicial forums (as approved)
- Emergency and crisis legal support
• Provide rapid response legal guidance during emergencies or crises
• Be available for on-site support on short notice when necessary
- Compliance and regulatory guidance
• Ensure compliance with federal, state, and local laws including act, state, sunshine laws, state library law, act, and employment regulations
- Legislative monitoring and updates
• Track and summarize laws or regulations affecting department
• Provide proactive updates and recommendations
- Legal opinions and staff training
• Provide written and verbal legal opinions
• Deliver legal training sessions for board and staff.
