Bond and Disclosure Counsel Services

The vendor required to provide bond and disclosure counsel services for include:
- Bond counsel
•    Preparing documents necessary or appropriate to the authorization, issuance, sale and delivery of the bond(s);
•    Assisting with the issuance and sale of the bonds;
•    Issuing an opinion as to the legality and validity of the bonds;
•    Assisting in the planning and structuring of the bond issue(s) and in supervision of the procedures of issuance;
•    Issuing an opinion regarding the tax-exempt status of the bonds;
•    Assisting in the preparation and development of a preliminary official statement ("pos"), official statement ("OS"), and notice of sale ("NOS") for the bond issue(s);
•    Working in coordination with the municipal advisor or financial advisor regarding bond issue(s);
•    Attending to the details of the closings and printing of the bonds, as required; (i) assisting in preparing information for bond rating organizations and others, if necessary;
•    Providing advice and assistance on post-issuance federal tax compliance and the authority's continuing disclosure requirements, including preparation or review of annual compliance procedures;
•    Attending all meetings required of them and associated with the bond issue(s); and (1) performing such other duties as are normally and customarily required of bond counsel. 
- Issuer's disclosure counsel
•    Reviewing documentation prepared by bond counsel and the financial advisor, and preparing any additional necessary legal documentation;
•    Assisting with the issuance and sale of the bonds;
•    Issuing a 10b-5 opinion;
•    Assisting in the preparation, development, and review of the POS, OS, NOS for the bond issue(s);
•    Working in coordination with the municipal advisor or financial advisor regarding the bond issue(s);
•    Attending all meetings required of them and associated with the bond issue(s); and
•    Performing such other duties as are normally and customarily required of disclosure counsel.
