RFP Description

The Vendor is required to provide legal counsel to represent agency and its affiliated entities in various areas of legal practices on an as-needed basis.
- Advise and assist agency in development and organization of new programs and entities, including not-for-profit subsidiaries.
- Negotiation and drafting of purchase and service contracts and other related documents.
- Serve as outside counsel and represent agency and its affiliates in any arbitration, mediation, or litigation matters for which they are engaged, including litigation strategy, risk assessment, and serving as counsel of record in state and federal courts.
- Provide written legal opinions. Prepare answers, discovery responses and other pleadings related to litigation matters. Attend meetings and court appearances as necessary.
- Assist in preparing correspondence or other documents to contractors, vendors, agents, etc. as may be necessary to protect agency.
- Advice and assist with real property acquisition and disposition/sale, including:
•    Real estate development and financing, compliance with agency regulations and laws, and compliance issues related to agency participation in third party business entities.
•    Review of title issues and real property encumbrances.
•    Analysis and response to eminent domain issues, environmental issues, historic decision considerations and demolition regulations.
- Preparation of financing and closing documents for acquisitions and dispositions of real estate, including tax exemption approvals.
- Review and negotiate applicable construction contracts and related payment and performance bonds.
- Other legal services as required and/or directed by agency attorneys, President and the Board of Commissioners.
- Advise and assist in planning and filing applications for tax credits to finance real estate transactions (Low income and new market).
- Advise and assist in planning, structuring, and issuing bonds to finance real estate transactions, including market assessments, managing credit support mechanisms, and providing recommendations during bond sales.
- Coordinate and prepare legal documents necessary for issuance, ensuring efficient delivery and compliance with legal requirements.
- Advise and assist on employment matters including;
•    Employment litigation (excluding medical malpractice and worker’s compensation).
•    Government Investigations
•    Wage Garnishments
•    Employment Verifications
•    Search Warrants and Subpoenas
•    Employee benefits and pension issues
•    Compensation practices and act compliance
•    Reductions in force and separation documentation
- Provide counsel and guidance on employment policies, discipline, and investigations.
- Provide counsel and guidance on hiring and termination matters, compliance, record retention, mandatory reporting and general employment matters.
- Review and update bylaws, policies, and procedures, and counsel board on governance best practices.
- Advise on compliance with federal, state and local laws and regulations relevant to the formation and operation of non-profit organizations.
