RFP Description

The Vendor is required to provide legal services for the county board.
- Services shall include all labor, materials, tools, specialized equipment, supplies, trained personnel, insurance, travel, per diem, direct and indirect administrative costs, overhead, tolls, parking, fuel, lodging, all other cost and charges, and all things and services necessary to provide services
- Various issues arise during the normal course of business involving matters that will require guidance and advice from legal counsel. 
- Because such services, at times, represent emergency situations, legal counsel will be expected to return a telephone call, or email, to the District without undue delay. Furthermore, the District is large, and it would not be unusual for more than one department of the District to request legal services at the same time.
- The selection process will include an assessment of the firm’s experience, expertise, and ability to address the following areas.
- Review and negotiate vendor-provided terms and conditions that present unique risk, compliance considerations, or enforceability issues.
- District Policies, House Bills, and Compliance Consulting
•    Provide advice on the development and revision of:
•    Standard contract templates, especially those tied to ESPLOST and other public funding sources
•    Internal procurement guidance and contract management by providing instructions related to any recent changes in the law
•    Risk allocation language (e.g., indemnity, insurance, liquidated damages)
•    Ensure consistency with changes in state law, Board policy, and federal guidance.
- Real Estate and Property Matters
•    Assist with all real estate-related transactions, including:
o    Acquisition and disposition of real property
o    Lease agreements for facilities, equipment, and land
o    Easements, licenses, and rights-of-way
o    Deed/Title search, review and due diligence
o    Zoning, land use, and environmental compliance issues
o    Provide counsel on real estate financing, mortgage agreements, and property tax matters as applicable.
- Annexation and City Incorporation Matters:
•    Mediation of annexation issues
•    Encroachment claims
•    Lobbying efforts
- Other Transactional Matters
•    Provide legal support for a variety of other transactional needs, such as:
o    Intergovernmental agreements and memoranda of understanding (MOUs)
o    Public utility agreements and easements
o    Licensing agreements and intellectual property matters
o    Debt issuance and financing support (in coordination with financial advisors)
o    Surety bonds and architect copyright
o    Errors & Omissions Insurance and Construction Insurance
o    Environmental issues, hazardous waste claims, mechanics liens, and Act matters
