The Vendor is required to provide outside counsel or legal services on an “as needed” or case-by-case basis.

1. Contracts, grants and procurement
• Non-litigation representation, advice and legal services regarding contracts and procurements, including agency state and federal obligations, negotiation, contract formation and contract management, bid protests, contract interpretation, contract and amendment drafting, contract communication drafting, contract terms and conditions review and negotiation, and information technology project procurements.
• Assistance with state and federal grant management, grant making and grant applications.
2. Employment and human resources
• Non-litigation representation, advice and legal services regarding investigation of employee-related matters, employee compensation and benefits, and employee handbooks and human resources policies.
3. Information technology and cybersecurity
• Non-litigation representation, advice and legal services in matters related to cybersecurity, privacy, actual or potential data or information security incidents, data protection and security policies, procedures and technical practices, obligations under federal and state law, and information technology best practices.
4. Mediation and dispute resolution
• Advice and legal services via formal or informal mediation and alternative dispute resolution.
5. Real estate
• Non-litigation representation, advice and legal services regarding acquisition, purchase, sale, exchange, or lease of real estate.
