The Vendor is required to provide on legal matters affecting the district; preparation of legal documents and papers, preparation and rendition of legal opinions to the board of directors and the transit agency chief executive officer; appearance for and representation of the district before the governing bodies of the city and county and other public bodies; legal approval of and negotiation of contracts and other documents; attendance at regular and special meetings of the board of commissioner; preparation of resolutions and other documents; representation of the district in court proceedings unless provided otherwise herein; and other such matters upon which the parties hereto may from time-to-time.
- Assist with review of contract documents (typically procurements, leases, as well as federal and state grants).
- Advise on compliance with existing state and federal laws and the issuance of advisory memorandums regarding proposed and new laws.
- Counsel and participate in real estate agreements; funding agreements; service agreements; easements agreements; ownership agreements; agreements for use; leases; inter-local agreements; and their related transactions.
- Counsel and participate in the issuance of general obligation bonds and other forms of indebtedness permitted by regional transit authority as set forth in the Code. Proposer should indicate experience in representing bond issuers, including transit organizations.
- Provide general legal advice.
- Maintain knowledge of issues facing Transit and be prepared to offer legal opinions.
- Board of Directors actions- review and approve legislative documents.
- Provide prompt response to inquiries by the Board or District. Establish reasonable completion dates for assignments and be accountable for adherence to such dates. Provide billing broken down by assignment and inquiry.
