The Vendor is required to provide municipal financial advisory firms to serve as its independent financial advisor in connection with the planning and issuance of debt obligations and other financial matters.
- Services include:
• Debt issuance management: supervise and/or manage the debt sale and bidding process.
• Debt planning and structuring: assist with planning and structuring/sizing debt, advice on debt structure and timing of issuances, analyze existing and proposed debt requirements to identify limitations or issues, and evaluate financing alternatives for capital projects.
• Document preparation and review: assist with the preparation and review of official statements and offering documents, advise on all disclosure obligations, and assemble and bind final legal and debt related documents.
• Meetings and presentations: attend meetings with city officials/employees, bond counsel, project professionals, rating agencies, and others as appropriate, attend city council and staff meetings as requested, participate in bond rating agency presentations, and assist in and attend public presentations or communications.
• Policy and legislative advisory: review financial policies and assist in long-term capital planning and advice on state and federal legislation impacting municipal finance.
• Independent and third-party analysis: provide independent analysis of proposed financings from underwriters or third parties and assist with financial feasibility studies related to projects if requested.
• Coordination with regulatory agencies: consult with relevant state agencies and departments, including the department of treasury, the department quality, and the municipal bond authority.
• Regulatory and compliance guidance: advise on post-issuance compliance, including arbitrage, continuing disclosure, and IRS regulations.
• Monitor and advise on refunding opportunities, file notices and applications with the department of treasury and provide other relevant preliminary and post-issuance advisory support/guidance (including arbitrage guidance).
